Legal Counsel

CLIENT: 

Our client is a leading renewable energy developer in the Asia Pacific region.

JOB DESCRIPTION

      1. Assist in drafting and reviewing, and safe keeps (1) contracts with counterparties, (2) documents evidencing corporate acts, (3) pleadings and documents to be submitted to judicial, quasi-judicial, administrative, and regulatory agencies; provides legal support to the Company through legal research and compliance validation with the objective of reducing legal risks to the Company.
      2. Draft and does initial review of contracts and supports negotiation of contract terms for the execution of contracts between the Company and its counterparties in order to ensure that the interests of the Company are protected and relationships with third parties are mutually beneficial. Safe keep all contracts executed and monitors expirations. 
      3. Drafts and do initial review of documents related to: (1) Board Meetings and Resolutions; (2) requirements of the Securities and Exchange Commission (SEC), and (3) the Company’s Lists of Authority in order to ensure that internal regulations and approval process are complied with and properly documented, and required submissions to the SEC are timely made. 
      4. Supports the Company in handling labor, civil, criminal and administrative cases and issues by: (1) doing legal research; (2) preparing initial drafts of some pleadings and documents, (3) serving and filing pleadings and (4) liaising with judicial, quasi-judicial, administrative and regulatory agencies as well as with the Company’s external counsels, in order to protect the Company’s legal rights and interest. Willing to Travel as needed to UPC various site offices.
      5. Perform tasks that may be assigned by Management from time to time.
      6. Reviews and validates the Company’s compliance with applicable laws, rules and regulations and monitor closure of non-compliance findings in order to reduce legal risks to the Company.
      7. Handles Closure/Opening of the Project Companies. 

JOB QUALIFICATION

  • At least 3-5 years of experience in legal assistance, corporate law, or a similar role. 
  • Strong attention to detail and excellent organizational skills. 
  • Good understanding of corporate governance, contracts, and compliance requirements. 
  • Ability to draft legal documents, including contracts, resolutions, and pleadings. 
  • Strong communication skills, both written and verbal. 
  • Ability to work independently and as part of a team, managing multiple tasks and deadlines effectively. 
  • Willingness to travel as required.
